Premerger Notification and Report Form Comments
Following up on a Request for Information from the Federal Trade Commission and the U.S. Department of Justice’s Antitrust Division, the Lexington Institute submitted comments on its proposed premerger notification and report form.
As stated in the filing, “In general, we believe the newly proposed form imposes burdensome and unnecessary requirements on all companies contemplating a merger. Indeed, the only beneficiaries from the form will be prestigious law firms consulted on the filings. There are also higher priorities your agencies should focus on, particularly consumer protection, rather than the tertiary and unnecessary information that the form will generate.”
